Legal.

Embedded in Industry.

Grounded in Texas. Multi-State savvy. Legal by an operator, for operators.

Fractional General Counsel for ambitious companies - practical, commercial, defensible solutions that scale with you.

Our Clients.

Our clients are the ones who build fast and can't afford legal bottlenecks.

We work with the companies that keep Texas running. The industrial, blue-collar, roll-up-your-sleeves operators who move product at 2 a.m., weld in 100-degree heat, run crews across state lines, and measure success in output, not optics. Our clients manage shift work, field teams, heavy equipment, DOT compliance, multi-state labor laws, and real operational risk. They don’t need theoretical advice. They need practical counsel that understands the jobsite, the warehouse floor, and the realities of workforce-heavy operations.

Industries Served:

Industrial Services

From rigging and mechanical contractors to specialty field services, we support companies performing high-risk, high-skill work in demanding environments. We understand jobsite compliance, workforce mobility, and the contractual risk that follows your crews.

Manufacturing

Whether you’re running a light fabrication shop or a multi-facility operation, we help manufacturers navigate wage & hour exposure, safety compliance, production-driven scheduling, and workforce scaling without slowing output.

Logistics & Transportation

When freight has to move, compliance can’t lag behind. We advise logistics operators on multi-state employment risk, independent contractor issues, regulatory exposure, and operational structuring that keeps goods — and growth — moving.

Trucking

DOT compliance, driver classification, overtime disputes, and safety obligations are not side issues — they’re central risks. We counsel trucking companies with practical strategies designed for fleets that operate across jurisdictions.

Construction

From subcontractor agreements to prevailing wage exposure and multi-tier workforce management, we support construction companies that build fast and manage layered compliance risk on every project..

Oilfield Services

Energy moves on tight timelines and high liability. We advise oilfield operators and service companies on workforce structure, safety-driven environments, multi-state employment issues, and contract alignment in complex service chains.

Utilities & Field Maintenance

Whether maintaining public infrastructure or servicing private assets, field-based teams operate under strict regulatory and safety demands. We provide counsel built for distributed crews working in dynamic environments.

Workforce-Heavy Operations

If your business runs on crews, technicians, inspectors, or contract labor, your legal exposure scales with every new hire and every new jobsite. We help workforce-intensive companies structure employment relationships, contractor models, compliance systems, and agreements that support growth — not bottlenecks.

Founder-Led Companies

Founder-led businesses move fast, make decisions in real time, and often carry risk personally. We work directly with founders who want practical, operator-minded counsel — someone who understands both the legal exposure and the commercial reality of building something from the ground up.

Private Equity-Backed Companies

Speed, scalability, and risk discipline define PE-backed growth. We support portfolio companies and sponsors with workforce strategy, compliance infrastructure, contract alignment, and transaction-ready operations — built to withstand diligence and drive value creation.

Our Approach.

Embedded Legal is for companies that run crews, manage equipment, and need practical legal answers - not legal theory.

The Embedded Fractional General Counsel Model

Most growing companies don’t need a full-time general counsel.
They need a strategic legal partner who understands operations, revenue, risk, and how decisions actually get made.
Our Fractional GC Model is built around three stages:
Discover. Plan. Execute.
It’s legal support designed to move at the pace of your business. Not slow it down.

1.Discovery
See the Business Before Fixing the Law

Discovery is fast, focused, and tailored to your operation.
We conduct a structured review of your company across core legal and commercial domains — not to create paperwork, but to understand how risk actually shows up in your business.

What We Evaluate:

  • Contract Exposure (customers, vendors, key relationships)

  • Employment & Workforce Structure

  • Corporate Governance Posture

  • Litigation and Dispute History

  • Compliance Gaps (state, federal, industry-specific)

  • Insurance alignment with risk

  • Operational friction points

What You Receive:
A clear, prioritized view of:

  • Legal risk exposure

  • Commercial vulnerabilities

  • Immediate action items

  • Strategic blind spots

Not a 70-page memo.
A practical roadmap.

2.Plan
Align Legal Strategy with Commercial Goals

You’re running a business — not a law firm.
The Plan phase integrates legal priorities with operational realities. We design systems that reduce friction, not add to it.
Every recommendation is filtered through one question:
Does this support revenue, scalability, and operational clarity?

What the Plan Includes:

  • Risk prioritization timeline (30 / 60 / 90 / 180 days)

  • Contract standardization strategy

  • Governance cleanup roadmap

  • Employment structure improvements

  • Litigation management protocol

  • Compliance calendar

  • Internal approval & delegation clarity

This is where legal becomes infrastructure — not reaction.

Tools We Use

  • Project planning platforms (Monday.com or equivalent)

  • Contract template libraries & clause matrices

  • Delegation of authority frameworks

  • Compliance trackers

  • Playbooks (termination, crisis response, contract escalation)

  • Board-ready executive briefings

3.Execute
Operate as Your Embedded GC

This is the core of the model.
We execute the plan — while staying agile enough to handle the “unexpecteds” that naturally arise in a growing company.
Vendor dispute.
Employee issue.
Customer contract redline.
Regulatory inquiry.
Board request.
Acquisition opportunity.
We move with your team in real time.

Why Embedded.

We deliver operator-minded legal counsel that moves at the speed of their business — reducing risk, sharpening decisions, and clearing the path for growth.

Why Clients Choose Embedded

Our clients don’t hire us to “review documents.”
They hire us because we understand how their business actually runs.

We’ve Lived in These Industries
We’ve spent our careers inside industrial, manufacturing, logistics, and field-service businesses — not observing them from a distance. We understand shift work, job sites, vendor chains, production deadlines, and revenue pressure.

We Know Where Risk Hides
Legal exposure doesn’t usually show up in dramatic moments — it hides in contracts, workflows, compensation structures, and informal “that’s how we’ve always done it” practices. We know where to look.

We Understand Operational Reality
Legal advice that ignores operations fails. We design solutions that work within your commercial realities — your timelines, margins, workforce dynamics, and growth goals.

We Combine HR + Legal + Compliance + Operations
Most advisors see one lane.
We see the full system.
That means:

  • Contracts that align with execution

  • Workforce strategy aligned with risk

  • Compliance integrated into daily operations

  • Governance built for scale

We Solve Problems Upstream
We don’t wait for disputes, audits, or lawsuits.
We identify friction early.
We reduce exposure before it compounds.
We build infrastructure that prevents surprises.
